Rotary Club of Vermilion January 28, 2021 Call to order 7am

Old Business:
- 22/23 Student exchange-Lorne and Dawn have both been approached by students for the 22/23 student exchange
- Adventures in Citizenship-Lorne has one student that will be attending the “Virtual”presentation. Shaun suggested that we send them a meal certificate or something to help them enjoy the “Virtual” Experience
- Financials: members received a copy of the financials for review. Erwin Warkentin made a motion to accept the Financial Statement as presented. Dawn Riley seconded. All in favor, none opposed. Motion carried.
- Bylaws- all club members should have received a draft of the newly updated bylaws for review, Rebekah has updated the draft after receiving comments from some members. The main purpose in updating the bylaws was to reflect what we are doing as a club and what we hope to do while staying within Rotary Internationals guidelines. Rather than amending the old bylaws line by line, Rebekah re-wrote them with the following basic changes:
- Careful definitions have been made as to how people withdraw their memberships and how they can be removed if needed.
- The elections process is more defined and streamlined.
- The revised bylaws allow for more flexibility in the position names for committee heads(to allow for easier changes if RI or the District make changes)
- The main change to the bylaws are to the membership types. This has been in discussions for a while now and changes have been made to allow for new types of memberships to be introduced into our policies. The membership types are as follows, 1) Regular 2) Registered 3)non voting (not registered with RI). If we create these membership structures within the bylaws then the membership committee has the ability to develop different membership types within our policies. These will be set up and voted on once the bylaws have been accepted and registered.
The bylaws make up the basic framework from which policies can be changed much easier. Rebekah first introduced the the draft for the new bylaws January 21 so we have 21 days from that time to when we can vote. Once accepted, it will still take a couple of months before Alberta Registries will finalize them.
Sargent Report-Erwin fined Mike Webb for trying to fast forward winter…..apparently as much as we wish it is still January 28 and not February 28
